1§ The Name, Domicile, and Language of the Organization

The name of the organization is Biopsi (registered organization) and its domicile is Tampere. The official language of the organization is Finnish.

2§ Purpose and Activity

The purpose of the organization is to provide benefits and co-operation for the students of Biotechnology at the University of Tampere. Additionally, it offers recreation and leisure activities for its members.

To fulfill their purpose, the organization gives student counseling and holds meetings, lectures and discussion events and excursions. It also promotes co-operation between the University and economic life, as well as with other student organizations. In addition, the organization has research, information and publishing activity, and it organizes recreation and leisure activities.

3§ Members

All students who accept the purpose and rules of the organization, and are currently enrolled in the Biotechnology Program of the University of Tampere, are qualified to become members of the organization. Members are approved upon application by the board of the organization. The board can also accept members who are seen as eligible and who are proposed with a written request. The board can appoint honorary members who have benefited the organization. A membership register is kept up to date by the board.

Students can continue as members after their graduation, but they can not be selected for the board.

4§ Resignation and Expulsion from the Organization

A member has a right to resign from the organization by notifying in writing the board or its president, or by announcing one’s resignation at the organization’s meeting to enter in the record.

The board can expel a member from the organization for a certain term or entirely, if a member causes damage to the organization, or no longer pays the membership fees.

5§ Membership Fee

The yearly membership fee amount required from the actual members is defined in the Spring Meeting. The membership fee applies for an academic year, which begins on September, 1 and ends on August, 31. Honorary members do not pay for the membership.

6§ Board

The organization’s affairs are tended to by the board appointed at the Fall Meeting. The board is composed of the president, vice-president, from three to seven (3-7) other actual members and from zero to two (0-2) deputy members. The term of office for the board is one calendar year.

The president of the board is called the president of the organization. The board appoints a secretary, treasurer, and if needed, an activities coordinator and other necessary officials from among. A deputy member of the board can not act as a secretary or a treasurer.

The board meets upon the invitation by the president or by the vice-president, when representing the president. The meeting has to be convened at least one (1) day in advance on the notice board of the organization and via e-mail sent to the board members. The meeting is legal when the president or the vice-president and at least half (1/2) of the board members are present.

The deputy members of the board have speech rights and the right to be present at the board meetings. Deputy members have a right to vote only, if an actual member is prevented to do so. Votes are ruled by the supermajority voting. When equal in number the president has the casting vote, in elections however, a lottery is performed.

The term of office for the board is one calendar year.

7§ Signing on Behalf of the Organization

Anything that is required to be signed on behalf of the organization must be done so by the president, vice-president, secretary or treasurer, each alone. The board can authorize its member to sign on behalf of the organization.

8§ Project Groups

The board can appoint project groups to function under its subordination, in which case the board has to appoint a responsible leader for the group. The board also defines the authority and the working period of a group and its leader.

9§ Dismissal from a Position of Trust

The organization’s meeting can dismiss an elected official for a justifiable reason in the middle of the term of office, in which case the dismissal has to be mentioned in the notice for the meeting.

A new member or new members have to be selected to fill in for a dismissed member or dismissed members for the remaining term of office.

10§ Meetings of the Organization

The meeting of the organization has the power of decision. The meetings are held in fall and in spring. It is possible to hold additional meetings.

The board has to convene the organization’s meetings with posting a notice to the members at least seven (7) days in advance or via e-mail to those who have given their e-mail addresses to the organization. In addition, meetings have to be announced on the notice board of the organization.

Votes in the organization meeting are ruled by the supermajority voting. When equal in number the president has the casting vote, in elections however, a lottery is performed.

The Spring Meeting of the organization is held between January and May. The purpose of the meeting is:

- To discuss annual report established by the board and decide on the actions it might cause

- To confirm financial statement and give freedom from liability to the board

- To confirm the plan of action and budget for the current accounting and activity year

- To decide on membership fee for the next academic year

In addition, the issues mentioned in the notice for the meeting will be decided on.

The Fall Meeting is held between September and December. The purpose of the meeting is:

- To appoint a board for the following calendar year

- To appoint two (2) treasurers and their personal deputies for the next accounting period.

An extraordinary meeting will be held when the organization meeting rules so or when the board finds it necessary or when at least one tenth (1/10) of the organization’s members demand it in writing from the board for the purpose of a specially raised matter. The meeting has to be held within thirty (30) days when the demand for it has been presented to the board.

If a member of the organization wants a certain issue to be discussed in the spring or the fall meeting, one must inform the board in writing early enough to include the issue in the notice for the meeting.

Every actual member who is at least 15 years old has one (1) vote in the organization’s meetings.

An honorary member has speech rights and the right to be present.

11§ Accounting Period of the Organization

The accounting period is one calendar year. Financial statement shall be given to the treasurers at the latest twenty-one (21) days before the spring meeting. Treasures have to give their statement at the latest fourteen (14) days before the spring meeting.

12§ Change of Rules and Dissolution of the Organization

The decision upon the change of rules and the dissolution of the organization has to be taken during an organization meeting with a minimum of three-quarters (¾) majority of the votes. In the notice for the meeting the change of rules or dissolution of the organization must be mentioned.

If the organization is dissolved the funds of the organization shall be used to promote the purpose of the organization in a manner ruled by the meeting, where the decision regarding dissolution is confirmed. If the organization becomes dismantled its funds shall be used for the same purpose.
